Abstract

This research aims to study the relationship and differences between board governance ( BOC size , proportion of independent Commissioners , the Board of Commissioners meeting frequency , the proportion of independent Audit Committee , the Audit Committee meeting frequency , the size of the Audit Committee ) and bank performance . The study sample is a Banking Company registered in BursaEefek Indonesia for a period of 5 years from 2007 to 2011 . The data was collected with the time series approach . Processing research data using multiple linear regression analysis techniques . Overall, the study shows that the negative correlation between the frequency of meetings of the Board of Commissioners and the company's financial performance as measured by ROA and P / E. As well as the positive relation between the frequency of meetings of the Board of Commissioners and the financial performance of the company as measured by NIM . The rest , positive relation between the size of the Board of Commissioners , the proportion of independent Commissioners , the proportion of independent Audit Committee , the frequency of meetings of the Audit Committee , the Audit Committee and the size of the company's financial performance as measured by NIM , ROA and P / E. The results imply that corporate banking in Indonesia has not implemented the council structure that ultimately the company still does not have an effective board governance to support performance improvement company.
