Abstract

This research aims to analyze the civil liability framework for Directors regarding actions detrimental to the company within the Indonesian legal system, formulate indicators for Director actions that qualify as detrimental to the company, and explain the forms of civil liability that may be imposed on Directors. The study also seeks to clarify the boundary between genuine business risk and legal fault on the part of Directors by distinguishing between the Duty of Care, Duty of Loyalty, the Business Judgment Rule, and the doctrine of Piercing the Corporate Veil. A normative legal research method is employed, utilizing statutory, conceptual, case-based, and comparative legal approaches. Primary legal materials include the Limited Liability Company Law (UUPT), the Indonesian Civil Code, sectoral regulations concerning State-Owned Enterprises (BUMN) and Regional-Owned Enterprises (BUMD), capital market regulations, as well as jurisprudence and corporate law doctrines from common law jurisdictions. The analysis is prescriptive in nature, drawing upon Lon Fuller’s theory of legal certainty, Richard Posner’s Economic Analysis of Law, Otto von Gierke’s Organ Theory, and the doctrines of fiduciary duty and the Business Judgment Rule. The findings indicate that Article 97 of the UUPT establishes the basis for the personal and joint and several liability of Directors but fails to provide sufficiently clear parameters to distinguish between losses arising from business risk and those resulting from legal fault. Indicators of Director actions detrimental to the company include *ultra vires* acts, gross negligence, decisions made without adequate information, conflicts of interest, fraud, bad faith, self-dealing, and abuse of the corporate entity. Forms of civil liability for Directors include compensation for damages, restitution of company rights, personal liability, joint and several liability, derivative suits, and the piercing of the corporate veil when the company is used as a vehicle to circumvent the law. The research’s novelty lies in its proposed multi-layered test model: the Duty of Care Test, the Duty of Loyalty Test, the Business Judgment Rule Filter, and the Piercing the Corporate Veil Test.
